Terms of Service

1. About these Terms

These Terms of Service ("Terms") govern your access to and use of AEON Digital ("AEON", "we", "us"), a marketing platform available at aeondigit.net that lets businesses send SMS and email campaigns. AEON Digital is operated by ICTServe Solutions, Nigeria.

By creating an account, signing in (including with Google), or using the service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use AEON Digital.

2. Eligibility and your account

You must be at least 18 years old and able to enter a binding contract. If you use AEON on behalf of a business, you confirm you have authority to bind that business.

You must give accurate information, keep your login details secure, and tell us promptly of any unauthorised use. You are responsible for all activity under your account.

We may require phone-number verification to help prevent fraud and abuse. Accounts that do not complete verification within the stated grace period may have access restricted until they do.

3. The service

AEON Digital provides tools to create, schedule and send SMS and email campaigns, manage contacts and templates, and view campaign analytics. Features may change, and some (for example WhatsApp) may be offered later or not at all.

AEON relies on third-party providers for message delivery and payments (including Africa's Talking, Resend and Paystack). Delivery depends on those providers and on mobile networks and mailbox providers, so we cannot guarantee that every message is delivered, delivered on time, or delivered to numbers that are on the Do-Not-Disturb (DND) register.

4. Credits, plans and payments

Messages are paid for with credits. 1 credit is currently priced at ₦10. An SMS uses 1 credit per message segment; email costs are shown in your dashboard. Prices and credit costs may change, but changes do not affect credits you have already bought.

Paid plans and credit top-ups are processed by Paystack in Nigerian Naira. We do not store your card details. Subscription plans renew only for the period you paid for.

Purchased credits do not expire. Credits are not redeemable for cash. Payments are non-refundable, except where a message failed because of a fault on our side or our providers' side, in which case the credits are returned to your wallet automatically or on request. Promotional or trial credits have no cash value and may be withdrawn if misused.

5. Acceptable use

You are solely responsible for your campaigns, your contact lists and your message content. You agree not to use AEON to:

• send messages to people who have not consented to hear from you, or to buy, scrape or rent contact lists;
• send spam, unsolicited bulk messages, phishing, scams, or anything misleading or fraudulent;
• send unlawful, threatening, harassing, defamatory, hateful or sexually explicit content, or content that infringes anyone's rights;
• promote illegal products or services, gambling or loan offers that breach Nigerian law, or any content prohibited by telecom regulators;
• impersonate another person or business, or use a sender ID you are not entitled to use;
• bypass opt-outs, rate limits, security or credit controls, or interfere with the service or other users.

6. Consent, opt-outs and data protection

You confirm that you have a lawful basis, and where required the recipient's consent, to message every contact you upload, in line with the Nigeria Data Protection Act 2023 and other applicable law.

Marketing messages must identify your business and give a simple way to opt out. AEON adds an opt-out instruction (such as "Reply STOP") to SMS campaigns and automatically suppresses numbers that opt out. You must not message suppressed contacts by other means to get around this.

For the contact data you upload, you are the data controller and AEON acts as your processor. We process it only to provide the service, as described in our Privacy Policy.

7. Sender IDs

Promotional SMS are sent using sender IDs approved on our network connections. Sender IDs are shared across the platform and are not owned by you. Promotional messages generally cannot reach numbers on the DND register; this is a network rule, not a fault in the service.

We may add, change or retire sender IDs, and we may require you to register your own sender ID for certain uses in future.

8. Suspension and termination

We may suspend or close an account, block campaigns, or withhold sending without notice if we reasonably believe you have breached these Terms, caused complaints or high bounce rates, put our sending reputation or provider relationships at risk, or if required by law or a provider.

You may stop using AEON and ask us to delete your account at any time by contacting support. Unused purchased credits are not refunded on voluntary closure, except where the law requires otherwise.

9. Your content and our intellectual property

You keep ownership of the content and contact data you upload. You give us a limited licence to host, process and transmit it solely to run the service for you.

AEON Digital, its software, design and branding belong to us and our licensors. These Terms do not give you any right to them other than to use the service as intended.

10. Disclaimers and limitation of liability

The service is provided "as is" and "as available". To the fullest extent permitted by law, we do not warrant that it will be uninterrupted, error-free, or that messages will always be delivered or read.

To the fullest extent permitted by law, AEON will not be liable for indirect or consequential loss, lost profits, lost data or business interruption, and our total liability for any claim is limited to the amount you paid us in the three (3) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under Nigerian law.

11. Indemnity

You agree to indemnify AEON against claims, losses and costs (including reasonable legal fees) arising from your campaigns, your contact data, or your breach of these Terms or applicable law.

12. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will update the date below and, where appropriate, notify you by email or in the dashboard. Continued use after changes take effect means you accept them.

13. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. We will try to resolve any dispute informally first; if that fails, the courts of Nigeria have jurisdiction.
